Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Confluence Digital Services, LLC (doing business as GrazerOne) ("we," "us," or "our"), including the GrazerOne web application available at https://grazerone.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

GrazerOne is a web-based farm management platform for small livestock operations. It helps farmers track animals, health records, breeding, milk production, grazing activities, and financials. The Service is intended for personal use and internal business use by agricultural operations. You must be at least 18 years old to create an account.

2. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when registering. You may not share your account with others or create accounts on behalf of third parties without authorization. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Free Trial

New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start a trial. When your trial ends, your account enters a one-week read-only grace period — you can still view your data but cannot add or change records. After the grace period, access is suspended until you choose a subscription plan and provide payment. Your data is retained throughout the read-only and suspension periods and is fully available again as soon as you subscribe.

4. Subscriptions and Billing

After your free trial, access to the Service requires a paid subscription. Subscriptions are billed monthly or annually, at your election. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We accept Visa, Mastercard, American Express, and Discover. All payments are processed in US dollars by our payment processor, Stripe. You can review Stripe's privacy practices at https://stripe.com/privacy. Any founding-flock price offered to an early subscriber remains available only while that subscription stays continuously active and only for the plan as then offered.

5. Cancellation and Refunds

You may cancel your subscription at any time by logging into your account and managing your subscription settings. Cancellation takes effect at the end of the current billing period — you retain access through the period you have paid for. We do not offer refunds on subscription payments already made, except as required by applicable law.

6. Your Data

You own the data you enter into GrazerOne. We process it solely to provide the Service as described in our Privacy Policy. We do not sell your data. Upon account deletion, your data is removed from our active systems in accordance with our Privacy Policy.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Transmit malware, viruses, or other harmful code
  • Use the Service in any way that could disable, overburden, or impair it
  • Scrape, crawl, or extract data from the Service by automated means

8. Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third party. Links do not imply endorsement.

9. No Professional Advice

GrazerOne is a record-keeping and management tool. Nothing in the Service constitutes veterinary, legal, financial, or agricultural advice. Always consult a qualified professional for decisions affecting animal health or your operation.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONFLUENCE DIGITAL SERVICES, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

12. Dispute Resolution

Informal Resolution. Before initiating any formal proceeding, you agree to contact us at privacy@grazerone.com and give us 30 days to attempt to resolve the dispute informally.

Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in Clackamas County, Oregon, United States, in accordance with the applicable arbitration rules. We will pay arbitration fees if they are deemed excessive. The arbitrator's decision shall be final and binding. You waive any right to a jury trial. This arbitration agreement applies only to claims brought in the United States.

Court litigation. If a dispute proceeds in court rather than arbitration, it shall be brought exclusively in the state or federal courts located in Clackamas County, Oregon.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice within the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by cancelling your subscription and deleting your account through the settings page.
